Our Guarantee
Ziman Agency is committed to providing reliable services and clear delivery timelines for translation, localization, language services, AI data support, multimedia, DTP, and talent support projects.
If a client is not satisfied with a delivered project, Ziman Agency will review the concern and, where appropriate, provide a revised version or reasonable correction at our expense.
If the revised version still does not meet the agreed project requirements, the client may request a partial or full adjustment, depending on the nature of the issue, the agreed scope, and the part of the project affected.
If a delivery is delayed and the delay is directly and only caused by Ziman Agency, we will discuss a fair solution with the client. This may include a partial adjustment, depending on the project value, delay length, and impact on the client.
General Sales Conditions
These general sales conditions apply to all jobs carried out by Ziman Agency for its clients, unless another written agreement has been confirmed by both parties.
All project requests must be accompanied by clear written confirmation, including the agreed price, scope, deadline, service type, deliverables, payment terms, and any specific instructions required to complete the work.
Ziman Agency reserves the right to refuse to start a project without written confirmation from the client.
For technical, medical, legal, software, multimedia, AI data, DTP, staffing, or other specialized projects, the client should provide reference materials, glossaries, style guides, diagrams, screenshots, technical instructions, sample files, or any other materials that help us understand the project properly.
Prices may be calculated based on word count, hourly work, project complexity, language pair, file format, service type, volume, urgency, required expertise, number of resources, technical requirements, or another agreed basis.
This may apply to translation, localization, editing, proofreading, MTPE, linguistic QA, terminology work, DTP, multimedia language services, AI data support, transcription, voice-related services, tech talent support, staffing, or any other service agreed with Ziman Agency.
Any change in scope, files, volume, deadline, format, instructions, deliverables, service requirements, or required resources may affect the final price and delivery timeline.
If the client cancels a confirmed project after work has started, all completed work will be billed in full. Work already assigned, prepared, reserved, or in progress may also be billed partially, depending on the stage of the project.
Unless otherwise agreed in writing, invoices must be paid within the payment period stated in the quote, invoice, purchase order, or written agreement.
Late payment or failure to pay may result in the suspension of all ongoing work, delayed delivery of future projects, refusal of new assignments, or collection of the full outstanding amount.
The client is responsible for any bank fees, transfer fees, currency conversion fees, or payment charges unless otherwise agreed in writing.
Complaints and Revisions
Complaints must be submitted in writing within seven calendar days from delivery of the project or the relevant project part, unless another review period has been agreed in writing.
All complaints must include clear details, examples, source files, delivered files, and an explanation of the issue.
If the complaint is valid and submitted within the agreed review period, Ziman Agency will review the issue and provide corrections or an updated version within a reasonable timeframe.
Once the review period has passed, the delivered work may be considered accepted.
Issues found in one part of a project do not automatically invalidate the full delivery. Ziman Agency reserves the right to correct reasonable issues where appropriate.
For creative, marketing, branding, localization, transcreation, multimedia, or highly stylistic content, client preferences may vary. Ziman Agency will follow the agreed brief, style guide, reference materials, and instructions provided before the project starts.
Unless transcreation, copywriting, adaptation, creative review, or another specific service is requested and agreed, the service will be handled according to the confirmed project scope.
Delivery
Delivery dates are agreed based on the project scope, available materials, required resources, and client instructions at the time of confirmation.
Ziman Agency will make reasonable efforts to deliver on time. However, we are not responsible for delays caused by missing information, late client feedback, file changes, technical issues, platform issues, internet outages, third-party systems, or other circumstances outside our direct control.
If a delay is directly and only caused by Ziman Agency, we will inform the client and work to provide a reasonable solution.
Confidentiality
Ziman Agency treats client files, project information, business materials, candidate information, and related communications as confidential.
We may share project materials only with trusted team members, linguists, reviewers, project managers, DTP specialists, multimedia specialists, AI data contributors, technical resources, recruiters, or approved service providers who need access to complete the work.
If a separate NDA is required, it should be agreed before the project starts.
AI, Machine Translation, and Technology Use
Ziman Agency may use professional tools, CAT tools, terminology systems, QA tools, DTP tools, multimedia tools, machine translation, AI tools, or automation where appropriate and where permitted by the client.
For confidential, sensitive, regulated, or restricted content, the client should clearly state any limitations on the use of AI, machine translation, or third-party tools before the project begins.
Ziman Agency remains responsible for delivering the service according to the agreed scope.
Talent Support and Staffing Services
For tech talent support, staffing, recruitment support, or resource coordination services, Ziman Agency works based on the agreed role requirements, skill expectations, availability, timeline, budget, and client instructions.
The client is responsible for final hiring, onboarding, contract, compliance, access, and employment decisions unless otherwise agreed in writing.
Ziman Agency may assist with sourcing, coordination, screening, communication, and resource management, but we do not guarantee employment decisions, long-term availability, or performance outcomes unless a specific written agreement states otherwise.
Harmful Content
Ziman Agency is committed to maintaining a safe and respectful working environment for its team, freelancers, partners, and collaborators.
We do not support the creation or spread of hateful, abusive, discriminatory, exploitative, violent, illegal, or harmful content.
Ziman Agency reserves the right to refuse, pause, or cancel any project that we consider inappropriate, unsafe, illegal, or harmful.
We understand that some clients may need support with sensitive material for professional, educational, medical, legal, research, or business purposes. If a project contains graphic, violent, traumatic, adult, medical, legal, political, confidential, or potentially distressing content, the client must inform Ziman Agency before the project starts so we can assess the work properly and assign it responsibly.
Ziman Agency and its clients should treat all team members and freelancers fairly and respectfully, without discrimination based on race, ethnicity, religion, belief, language, gender, disability, age, nationality, location, or any other protected or personal status.
Intellectual Property and Use of Deliverables
After full payment is received, the client may use the final delivered work according to the agreed project purpose.
Until payment is completed, Ziman Agency reserves the right to withhold final files, suspend usage rights, pause related services, or request removal of unpaid work from use.
The client confirms that they have the right to submit the source materials, project files, data, media, documents, or candidate requirements to Ziman Agency for processing, translation, localization, review, production, coordination, or related services.
Liability
Ziman Agency’s liability is limited to the amount paid for the specific project giving rise to the claim.
Ziman Agency is not liable for indirect, incidental, special, or consequential losses, including loss of profit, business interruption, reputational damage, loss of data, publishing errors, platform issues, or third-party claims, except where required by applicable law.
The client is responsible for final review and approval before publishing, printing, submitting, launching, distributing, hiring, onboarding, or legally relying on delivered content or resources.
Written Agreements and Disputes
Only written agreements, written confirmations, signed contracts, approved quotes, purchase orders, or confirmed email instructions will be considered valid for project scope, pricing, deadlines, deliverables, and payment terms.
If a separate contract, NDA, purchase order, or service agreement is signed between Ziman Agency and the client, that agreement may take priority over these Terms and Conditions where applicable.
The applicable governing law and dispute resolution process may be defined in the quote, contract, invoice, or separate written agreement between the parties.
